Agreement to Our Legal Terms
We are BeatBash, operating beatbash.app and any related products and services that link to these terms (collectively, the 'Services'). You can reach us at contact@beatbash.app or by mail at Ottawa, Ontario, Canada.
By accessing the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree, you must discontinue use immediately.
We will notify you of any material changes to these terms by email or by posting a notice on the Services. Continued use after the effective date of any changes constitutes your agreement to the modified terms.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
1. Our Services
BeatBash is available for personal, non-commercial use. The Services are not tailored to comply with industry-specific regulations such as HIPAA or FISMA. If your use would be subject to such laws, you may not use the Services.
If you access the Services from outside Canada, you do so on your own initiative and are solely responsible for compliance with applicable local laws.
2. Intellectual Property Rights
We own or are licensed to use all intellectual property in the Services — including source code, designs, text, graphics, and logos (the 'Content' and 'Marks'). You may not copy, reproduce, distribute, sell, or exploit any Content or Marks for commercial purposes without our express prior written permission.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access the Services for personal, non-commercial use only.
Your contributions: When you post ratings, reviews, photos, or any other content ('Contributions'), you grant us an irrevocable, perpetual, worldwide, royalty-free licence to use, reproduce, distribute, display, and create derivative works from your Contributions for any purpose. You retain ownership of your Contributions, but you are solely responsible for them. We may remove or edit Contributions at any time if we consider them harmful or in breach of these terms.
By submitting Contributions, you warrant that you own or have the rights to the content, that it is accurate, and that it does not infringe any third party's rights.
3. User Representations
By using the Services, you represent and warrant that all registration information you submit is true, accurate, and complete; that you have the legal capacity to agree to these terms; that you are not a minor; that you will not access the Services through automated means; and that your use will not violate any applicable law or regulation.
If any information you provide is found to be untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account.
4. User Registration
You may be required to register to use the Services. You are responsible for keeping your password confidential and for all activity that occurs under your account. We reserve the right to remove or change a username we determine to be inappropriate, obscene, or otherwise objectionable.
5. Prohibited Activities
You may not use the Services for any purpose other than those for which they are made available. The following activities are strictly prohibited:
- Scraping, mining, or systematically collecting data from the Services without written permission.
- Tricking, defrauding, or misleading us or other users, including attempts to obtain sensitive account information.
- Circumventing or interfering with security-related features of the Services.
- Using the Services to harass, abuse, or harm any person.
- Uploading or transmitting viruses, malware, spam, or any material that disrupts the Services.
- Using automated systems, bots, scrapers, or scripts to access or interact with the Services.
- Attempting to impersonate another user or person.
- Copying, reverse engineering, or adapting the Services' software.
- Using the Services to advertise, sell goods or services, or for any commercial purpose not approved by us.
- Selling or transferring your account or profile.
- Submitting false, misleading, or fraudulent ratings or reviews, including ratings for festivals you did not attend.
- Falsely claiming affiliation with a festival as an attendee when acting as an organizer, staff member, or sponsor.
- Posting content that constitutes hate speech, harassment, or discrimination based on race, gender, sexuality, religion, or any other protected characteristic.
- Sharing or soliciting private personal information of any individual, including phone numbers, addresses, or social media accounts.
- Posting spam, referral links, discount codes, affiliate marketing content, or duplicate content across multiple festivals.
- Uploading photos or content that you do not own or have the rights to share.
- Uploading photos or content depicting nudity, graphic violence, or otherwise offensive material.
6. User Generated Contributions
The Services allow you to submit content including ratings, reviews, photos, and other material ('Contributions'). Contributions may be viewable by other users and through third-party websites, and should be treated as non-confidential.
By submitting Contributions, you warrant that: you own or have the rights to the content; it is accurate and not misleading; it does not violate any applicable law; it does not infringe any third party's intellectual property, privacy, or publicity rights; it does not contain offensive, harassing, or discriminatory content; and it complies with these Legal Terms.
Any violation of the foregoing may result in termination or suspension of your rights to use the Services.
7. Contribution Licence
By posting Contributions, you grant us an irrevocable, perpetual, worldwide, royalty-free licence to host, use, reproduce, distribute, display, and create derivative works from your Contributions in any media format and through any media channel, for any purpose including commercial use.
You retain ownership of your Contributions. We are not liable for any statements or representations in your Contributions. We reserve the right to edit, re-categorise, or delete any Contributions at any time and for any reason, without notice.
8. Guidelines for Ratings
When posting a rating, you must: have firsthand experience with the festival being ratings; not use offensive, abusive, or hateful language; not include discriminatory references; not reference illegal activity; not post false or misleading statements; and not organise campaigns to post coordinated ratings.
We may accept, reject, or remove ratings at our sole discretion. ratings do not represent our opinions or those of our partners. We do not assume liability for any ratings or for any claims, liabilities, or losses resulting from any ratings.
9. Third-Party Websites and Content
The Services may contain links to third-party websites or content that we do not control, monitor, or endorse. If you access third-party websites through the Services, you do so at your own risk and these Legal Terms no longer govern. We are not responsible for any losses or harm arising from third-party content or websites.
10. Services Management
We reserve the right to monitor the Services for violations of these Legal Terms; take appropriate legal action against violators; restrict, disable, or remove Contributions; and otherwise manage the Services to protect our rights and facilitate proper functioning. We have no obligation to monitor Contributions.
11. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Legal Terms. By using the Services, you agree to be bound by it.
The Services are hosted in Canada. If you access the Services from another region, your continued use constitutes consent to have your data transferred to and processed in Canada.
12. Copyright Infringements
We respect the intellectual property rights of others. If you believe any material on the Services infringes a copyright you own or control, please notify us immediately using the contact information in Section 26. Please note that you may be held liable for damages if you make material misrepresentations in a copyright notification.
13. Term and Termination
These Legal Terms remain in full force and effect while you use the Services. We reserve the right to deny access to the Services, block IP addresses, suspend or terminate accounts, and delete any content you have posted, at any time and for any reason, without notice or liability.
If your account is terminated, you are prohibited from re-registering under your name, a fake name, or any third party's name. We also reserve the right to pursue civil, criminal, and injunctive redress.
14. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We are not liable for any modification, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We are not liable for any loss, damage, or inconvenience caused by downtime or interruptions.
15. Governing Law
These Legal Terms are governed by the laws of Canada. Both parties irrevocably consent to the exclusive jurisdiction of the courts of Canada for any dispute arising in connection with these Legal Terms.
16. Dispute Resolution
Informal negotiations: Before initiating arbitration, the parties agree to attempt to resolve any dispute informally for at least thirty (30) days from written notice of the dispute.
Binding arbitration: If informal negotiations fail, disputes shall be resolved by binding arbitration under the International Commercial Arbitration Court (European Arbitration Chamber). The seat of arbitration is Ottawa, Canada. Proceedings will be conducted in English by one (1) arbitrator. The governing law is the substantive law of Canada.
Restrictions: All arbitration is limited to the individual dispute between the parties. No class actions, class arbitrations, or representative proceedings are permitted.
Exceptions: The above does not apply to disputes involving intellectual property rights, theft, piracy, invasion of privacy, unauthorized use, or claims for injunctive relief.
17. Corrections
There may be information on the Services that contains errors, inaccuracies, or omissions. We reserve the right to correct any such errors and to update information at any time without prior notice.
18. Disclaimer
The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the Services' content and assume no liability for errors, unauthorized access, service interruptions, or any harm resulting from your use of the Services.
19. Limitations of Liability
To the fullest extent permitted by law, we and our directors, employees, and agents will not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages — including lost profit, lost revenue, or loss of data — arising from your use of the Services. Our total liability to you for any cause will not exceed the amount paid, if any, by you to us. Some jurisdictions do not allow these limitations, so they may not apply to you.
20. Indemnification
You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand — including reasonable legal fees — arising from your Contributions, your use of the Services, your breach of these Legal Terms, your violation of any third party's rights, or any harmful act toward another user. We reserve the right to assume exclusive control of any matter subject to indemnification at your expense.
21. User Data
We maintain certain data you transmit to the Services to manage performance. Although we perform routine backups, you are solely responsible for all data you transmit or activities you undertake using the Services. We are not liable for any loss or corruption of your data.
22. Electronic Communications, Transactions, and Signatures
By using the Services, you consent to receive electronic communications and agree that all electronic agreements, notices, and disclosures satisfy any legal requirement that such communications be in writing. You waive any requirement for original signatures or non-electronic records where permitted by law.
23. California Users and Residents
If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
24. Miscellaneous
These Legal Terms, together with any policies or rules posted on the Services, constitute the entire agreement between you and us. Our failure to enforce any right or provision does not constitute a waiver. If any provision is found to be unlawful or unenforceable, it is severable from the rest of these terms without affecting their validity. There is no joint venture, partnership, employment, or agency relationship between you and us as a result of these Legal Terms.
25. Account Suspension and Termination
We reserve the right to suspend, limit, or permanently terminate any user account at our sole discretion if we determine that a user has violated these Terms or our Community Guidelines (House Rules), including but not limited to submitting fraudulent ratings, engaging in harassment, or repeatedly violating our prohibited activities policy. We will make reasonable efforts to notify affected users where appropriate.
